Astra is seeking an energetic and entrepreneurial minded Commercial Attorney to our growing team. This role is a great opportunity for someone who can thrive in a fast-paced and stimulating environment, working both independently and collaboratively. The ideal candidate has broad experience in negotiating and structuring commercial contracts and transactions, with direct experience in supporting the sales, procurement and product functions of a company. Your primary responsibilities would include being a trusted advisor and business partner across the various business lines of Astra by providing counsel and guidance to further Astra's overall business objectives. The ideal candidate is one that is passionate about business as well as the law, always looking for a creative solution to come to a meeting-of-the-minds and willing to immerse himself/herself in Astra's business and products.

How You'll Fulfill Your Mission:

  • Draft, review and negotiate all types of commercial contracts (including confidentiality, purchase and supply agreements with both vendors and customers;  information technology and software license agreements, consulting and services agreements with a wide variety of providers) and related documents (including statements of work, and exhibits)
  • Oversee the development of a contract management system and database for storing contracts
  • Work closely with the Finance, Supply and Sales team department on the legal aspects of commercial transactions affecting those teams
  • Coordinate with outside counsel as needed when jurisdiction-specific or specialized legal advice is required.
  • Perform other key legal duties as may be required from time to time.

Qualifications

  • Juris Doctorate from an ABA accredited law school
  • Licensed to practice law in California or satisfies the requirements of Registered In-House Counsel in California
  • 7+ years of combined in-house and law firm experience
  • Experience drafting, redlining and negotiating complex commercial and other transactional agreements with customers, vendors/suppliers and other third parties
  • Experience navigating privacy and data security laws (including GDPR and CCPA)
  • Extensive experience working collaboratively with other in-house departments, particularly sales, finance and product/engineering
  • Self-starter who is motivated to excel and collaborate in building an in-house legal department with the other members of Astra's legal team
  • The ability to operate autonomously and work collaboratively as a team player with sales and other internal business partners.
  • A sense of urgency and ability to comfortably work in a fast paced, changing environment
  • Ability to remain informed of applicable legislations, regulation and other industry trends affecting Astra
  • Excellent organizational skills and attention to detail, with an ability to prioritize and manage multiple projects at once, follow through, and meet deadlines under tight schedules
  • A hard worker, proactive, humble (no task is too big or too small), professional with strong communication and analytical skills
  • Ability to comfortably balance risk with Astra's objectives/benefits and think creatively and outside-the-box to find resolutions and enable Astra to make smart decisions
  • Highly responsive with a service-oriented attitude and demonstrated sense of ownership and commitment to driving matters to conclusion
  • Must be eligible for or have already have an active Secret Security Clearance

Desired Multipliers

  • Experience working in the corporate department of a top 200 law firm.
  • Employment law experience.
  • Intellectual Property licensing experience
  • Experience with US Government contracts/contractors

ITAR Requirements: This position requires compliance with U.S. Government space technology  trade restrictions, specifically the International Trafficking in Arms Regulations (ITAR), Export Administration Regulations (EAR) and additional regulations governing satellite, launch vehicle, missile, and other related technologies.  All jobs restricted by these regulations will be contingent upon the applicant’s status as a documented U.S. Person or their ability to receive a trade license from the cognizant government agency; in addition to any required company background checks and in compliance with applicable U.S. and California laws.  Similarly, positions requiring the ability to work on government contracts or a security clearance are also contingent upon the applicants ability to receive the appropriate clearance and be allowed to work on U.S. government contracts.
